Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Patriot AI Holdings, LLC ("Veevo," "we," "us," or "our"), a California limited liability company, governing your access to and use of the Veevo platform, APIs, dashboard, documentation, and related services (collectively, the "Service") available at veevo.ai.
By creating an account, accessing the Service, or using the API, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, do not use the Service.
1. Definitions
- "API Key"
- A unique cryptographic bearer token issued to Customer for authenticating requests to the Veevo API. API keys are hashed (SHA-256) at rest; the plaintext value is displayed only once at creation.
- "Callback Endpoints"
- The HTTPS URLs hosted by Customer's backend that receive webhook requests from the Veevo Engine during the call lifecycle:
onCallStart,onToolCall, andonCallEnd. - "Call Data"
- Information generated during a phone call, including call SID, caller/called numbers, duration, transcript, cost breakdown, and metadata.
- "Customer Credentials"
- Third-party API keys and authentication tokens that Customer provides to the Service via callback responses, including Twilio account SID, Twilio auth token, and OpenAI API keys.
- "Engine"
- The real-time voice infrastructure operated by Veevo that bridges Twilio media streams and OpenAI Realtime API sessions.
2. Account Registration and Eligibility
2.1. You must be at least 18 years of age and capable of entering into a binding legal agreement to use the Service.
2.2. You must provide accurate, current, and complete registration information, including a valid email address and company name (if applicable).
2.3. Account activation requires completion of a payment subscription via Stripe. Your account will remain inactive until payment is successfully processed.
2.4. You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and webhook signing secrets. You must notify us immediately at support@veevo.ai of any unauthorized access to your account.
2.5. One natural person or legal entity may maintain only one active account.
3. Description of Service
3.1. Veevo provides API-driven infrastructure for deploying AI-powered phone agents. The Service includes:
- Account management and API key provisioning
- Phone number registration and callback URL configuration
- Real-time voice call orchestration between Twilio and OpenAI Realtime API
- Inbound and outbound call initiation
- Tool calling relay between OpenAI function calls and Customer backend
- Usage tracking, transcript delivery, and cost breakdowns
- Billing integration via Stripe metered subscriptions
3.2. The Service acts as a stateless bridge between Twilio and OpenAI. Audio streams, transcripts, and credentials are processed in-memory during active calls and are not persisted by the Engine after the call concludes.
3.3. The Service requires Customer to maintain active, funded accounts with both Twilio and OpenAI. Veevo does not provide telephony or AI model services directly.
4. Customer Credentials and Third-Party Services
4.1. Veevo does not store Customer Credentials. Your Twilio account SID, Twilio auth token, and OpenAI API key are returned by your backend via the onCallStart callback on each call and are held in volatile memory only for the duration of that call.
4.2. Upon call termination, all Customer Credentials are immediately purged from memory. No credentials are written to disk, database, or log files.
4.3. You are solely responsible for the security of your Twilio and OpenAI accounts. Veevo is not liable for charges incurred on your third-party accounts as a result of your use of the Service.
4.4. Your use of Twilio and OpenAI through the Service is subject to their respective terms of service and acceptable use policies. You must comply with all applicable third-party terms.
5. Fees, Billing, and Payment
5.1. Platform Fee.The Service is billed at a base subscription fee of $5.00 USD per month ("Base Fee"), payable in advance via Stripe.
5.2. Usage Fee.In addition to the Base Fee, Customer is charged $0.05 USD per minute of call duration ("Usage Fee"), rounded up to the nearest whole minute per call, billed via Stripe metered billing.
5.3. Third-Party Costs. Twilio and OpenAI charges are billed directly by those providers to your accounts. Veevo does not mark up, resell, or intermediate third-party costs.
5.4. Rejected Calls. Calls rejected via the onCallStart callback incur minimal Twilio charges (approximately $0.01) and zero Veevo Usage Fees, as no AI session is initialized.
5.5. All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing upon 30 days' written notice to the email address on your account.
5.6. If payment fails, your account will be marked inactive and API access will be suspended. Service will resume upon successful payment of outstanding amounts.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation, including the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), and equivalent international regulations
- Place robocalls, spam calls, or unsolicited telemarketing calls without prior express consent of the called party
- Impersonate a human being without clear disclosure that the caller is an AI agent, where required by law
- Transmit content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable
- Attempt to reverse-engineer, decompile, or disassemble the Engine or any component of the Service
- Interfere with or disrupt the integrity or performance of the Service or third-party systems
- Use the Service to process protected health information (PHI) under HIPAA without a separate Business Associate Agreement
- Exceed reasonable API rate limits or engage in activity designed to degrade service for other customers
We reserve the right to suspend or terminate your account immediately for violation of this section.
7. Webhook Security and Signature Verification
7.1. All callback requests from the Engine to your endpoints include an X-Veevo-Signatureheader containing an HMAC-SHA256 hash of the request body, computed using your account's webhook signing secret.
7.2. You are strongly encouraged to verify this signature on every callback before processing the request or returning credentials. Failure to verify signatures may expose your third-party credentials to unauthorized parties.
7.3. Veevo is not responsible for security incidents resulting from Customer's failure to implement signature verification.
8. Call Recording, Transcripts, and Compliance
8.1. The Service generates transcripts of AI-assisted phone calls via OpenAI's transcription capabilities. Transcripts are delivered to your backend via the onCallEnd callback and are not retained by Veevo after delivery.
8.2. You are solely responsible for compliance with all applicable call recording, consent, and notification laws in the jurisdictions where your calls originate and terminate, including but not limited to two-party consent states and GDPR requirements.
8.3. You must obtain all necessary consents before recording, transcribing, or monitoring phone calls using the Service.
9. Intellectual Property
9.1. Veevo retains all rights, title, and interest in and to the Service, including all software, APIs, documentation, trademarks, and proprietary technology.
9.2. Customer retains all rights to Customer's data, callback implementations, system prompts, tool definitions, and any content processed through the Service.
9.3. Subject to these Terms, Veevo grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the subscription term.
10. Service Level and Availability
10.1. We endeavor to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation.
10.2. The Service depends on third-party infrastructure (Twilio, OpenAI, Stripe, cloud hosting). Outages or degradation of third-party services may impact Service availability and are outside our control.
10.3. Callback endpoints must respond within the specified timeouts: 10 seconds for onCallStart and 30 seconds for onToolCall. Calls may be terminated if your backend exceeds these limits.
11. Limitation of Liability
11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VEEVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
11.2. VEEVO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO VEEVO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11.3. WITHOUT LIMITING THE FOREGOING, VEEVO IS NOT LIABLE FOR: (A) CHARGES INCURRED ON YOUR TWILIO OR OPENAI ACCOUNTS; (B) CONTENT GENERATED BY AI MODELS DURING CALLS; (C) ACTIONS TAKEN BY YOUR BACKEND IN RESPONSE TO TOOL CALLS; OR (D) FAILURES CAUSED BY YOUR CALLBACK ENDPOINT UNAVAILABILITY.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VEEVO DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
13. Indemnification
You agree to indemnify, defend, and hold harmless Veevo and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including TCPA, TSR, or equivalent; (d) content generated or transmitted through the Service by your AI agents; or (e) any dispute between you and a third party related to calls placed or received using the Service.
14. Suspension and Termination
14.1. You may cancel your subscription at any time through the Stripe billing portal accessible from your dashboard. Cancellation takes effect at the end of the current billing period.
14.2. We may suspend or terminate your access to the Service immediately, without prior notice, if: (a) you violate these Terms; (b) your payment fails and remains outstanding for more than 7 days; (c) we reasonably believe your use poses a security risk; or (d) we are required to do so by law.
14.3. Upon termination, your API keys will be revoked, phone number registrations will be deactivated, and access to the dashboard will be disabled. Usage records and account data will be retained for a minimum of 90 days for billing reconciliation purposes and then deleted, unless longer retention is required by law.
15. Modifications to Terms
We may modify these Terms at any time by posting updated Terms on the Service and notifying you via email. Material changes will be communicated at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
16. Governing Law and Dispute Resolution
16.1. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
16.2. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Los Angeles, California.
16.3. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
17. General Provisions
17.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Veevo with respect to the Service.
17.2. Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17.3. Waiver. Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
17.4. Assignment. You may not assign or transfer these Terms without our prior written consent. Veevo may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
17.5. Force Majeure. Veevo shall not be liable for any failure or delay in performing obligations under these Terms caused by circumstances beyond our reasonable control, including natural disasters, government actions, or third-party service outages.
